Legal terms and conditions for the activity "Sandander Louder Together 2024"

These legal terms and conditions («Legal Terms and Conditions«) shall govern the organization by Banco Santander, S.A., («Santander«) and the participation by the participants («Participants«) in the promotional activity «Santander Louder Together» («Activity«), which will consist of a music contest that will be hosted and deployed mainly within the Tik Tok platform, and as detailed below.

Purpose of the Activity

By organizing the Activity, Santander seeks to promote its activity and its link to music, supporting the talent of the young generations in social networks and digital environments.

The Activity essentially consists of a music competition aimed at both singers and instrumentalists, in which Participants must post on the Tik Tok platform («Tik Tok«), provided by TikTok Technology Limited, a video in which they demonstrate their musical talent, performing a song and/or playing an instrument, which will then be judged by a panel of judges, according to artistic criteria with the aim of forming, exclusively for the Activity, a musical band (the «Band«) which will culminate in the production and recording of an original song (the «Song»), and the filming of the corresponding music video for the Song (the «Music Video«).

All aspects related to the participation requirements, evaluation criteria and the prize are detailed in the following sections.

Application of these Legal Terms and Conditions

Participation in this Activity is subject to these Legal Terms and Conditions. As organizer of the Activity, Santander’s criteria will apply to the resolution of any issue arising from the Activity.

Organizing entity of the Activity and purpose of the Activity

The commercial entity Banco Santander, S.A., with CIF A-39000013 and registered office at Paseo de Pereda 9-12, Santander, Cantabria, is the organizer of the Activity regulated in these Legal Terms and Conditions.

Personal and territorial scope

Only those individuals who meet the following cumulative conditions may participate in the Activity and, therefore, be eligible for the prize:

They are over 18 years old or of legal age in relation to the regulations of the country of which they are nationals or residents at the start date of the Activity; and
They are nationals and residents of the countries in which participation in the Activity is permitted («Permitted Territories«).

If you do not reside in any of the Permitted Territories, you will not be considered a Participant in the Activity and will not be eligible for the prize potentially arising from the Activity. The Permitted Territories are limited to the following:

Spain
Portugal
Mexico
Brazil
Chile
Argentina
Uruguay

In addition, if you are currently an employee of Santander or any of its affiliates, you will not be considered a Participant in the Activity and will not be eligible for any prizes that may arise from the Activity.

Singers or artists who have signed contracts with record labels or other music industry operators, whereby they have agreed to dedicate their musical activity (composition, performance, interpretation) exclusively to these operators anywhere in the world, are also excluded from the Activity. The Participant is solely responsible for being aware of and verifying their contractual relationships in order to determine whether or not they fall under this exclusion.

Participation in the Activity.

In order to participate in the Activity and be eligible for the prize, it is essential to also comply with the requirements set out in this section:

Post on Tik Tok: To participate in the Activity, Participants must upload a video of themselves singing a song and/or performing a musical interpretation (the «Content«) to their personal Tik Tok user account. The Participant’s performance must not infringe on third party copyrights, and the duration must not exceed the time specified on the platform itself with a maximum of between one (1) minute and three (3) minutes. In addition, the publication must be accompanied by a description that complies with the requirements indicated below.
Acceptance of the Legal Terms and Conditions: For participation in the Activity to be considered valid, Participants must fully accept these Legal Terms and Conditions. Failure to accept them will result in the annulment of participation. By submitting Content to Santander, Participants confirm that they accept these Legal Terms and Conditions.
Personal and individual participation: Participation by third parties on behalf of a Participant is expressly prohibited. Only individual participations will be accepted, meaning that one Content will count as a single participation of the Participant who has posted it.
Accuracy of the data: Participants’ data that is either associated with their personal Tik Tok account or provided with participation in the Activity must be truthful and accurate. Should the Participant at any time provide false, incorrect, inaccurate, outdated or otherwise imprecise information, he/she will be excluded from the Activity.
Participation is free of charge: Participation in the Activity shall be free of charge. Santander is not responsible for any costs that Participants may incur for Internet connection, technological or musical equipment or any expenses incurred for artistic purposes not requested in the Activity.

Mechanics of the Activity

Only Content published between 9:00 a.m. (Madrid time) on July 23th, 2024 and 11:59 p.m. (Madrid time) on august 11th,2024 will be taken into consideration. The initial period until august 8th,2024 was extended to august 11th,2024 for operational reasons.

Each Participant must post the Content on his or her personal Tik Tok account, with a duration of between one (1) minute and three (3) minutes maximum.

The publication of the Content should include a description indicating:

the Participant’s name
the name of the song performed
the hashtag #loudertogether
the appropriate local Santander bank account in the country of residence from the following:
- Spain: @santander_es and/or @santandersmusic
- Portugal: @santanderpt
- Mexico: @santander_mexico
- Brazil: @santander_br
- Chile: @santanderchile
- Argentina: @santander_ar
- Uruguay: @santanderuy

Participants’ Content shall not:

contain elements that may be protected by copyrights of third parties;
contain any material that is defamatory, unlawful, obscene, offensive, violent, discriminatory, provocative or otherwise inappropriate (e.g., impersonations of public figures, mockery);
incorporating or promoting sexually explicit material, violence; any kind of discrimination (e.g., based on race, sex, religion, nationality, disability, sexual orientation or age);
infringe any intellectual property rights of any third party;
be made in breach of any legal obligation owed to a third party, such as a contractual duty or a duty of confidence;
promote any illegal activity, be threatening, abusive or cause unnecessary anxiety;
contain images or voices of third parties or any personal data of third parties;
be likely to harass, upset, embarrass, alarm or annoy any other person; be used to impersonate any person, or to misrepresent the identity or affiliation of Participants with any person or entity; or advocate, promote or facilitate any illegal act.

Any breach of the above will result in the exclusion of the Participant from the Activity. Santander will contact Participants in the event that any breach of these Legal Terms and Conditions is identified.

The Content may consist of instrumental performance, using any instrument of the Participant’s choice, or sung performance either a capella or with instrumental accompaniment, and in any case, must not infringe any third-party rights. Each Participant may participate as many times as he/she wishes, as long as he/she complies in each of the Contents with the present Legal Terms and Conditions.

Santander may contact Participants to confirm that they have been made aware of the terms set out in these Legal Terms and Conditions. To the extent that the Activity is organized on the Tik Tok platform, contact with Participants will be made through this same platform and using the communication channels provided. In the event that the Participant refuses to confirm his/her acceptance of the Legal Terms and Conditions, Santander will inform him/her that he/she is excluded from the Activity. In order to ensure the correct operation of the Activity, it is recommended that Participants set up their accounts on the Tik Tok platform so that Santander can contact them through their corporate, global or regional accounts, or through accounts created specifically for the promotion.

Selection of the winners

In order to select the winners of the Activity, Santander will create a committee to evaluate each of the Participants (the «Jury«) composed of a technical team specialized in music, the music production company involved in the development of the Activity, White Horse Production, S.L., David Madrid S.L. which belongs to the Communication Group WPP Holding Spain SLU and Santander.

The Jury will select up to six (6) participations from among the Participants, according to its criteria and personal appreciation of the originality, creativity and musicality.

The Jury will also select ten (10) additional Participants (the «Alternates«) who will be ranked according to its criteria, and who will be contacted in order of the Jury’s ranking, only in case of withdrawal by any of the initially selected Winners or in case of their disqualification.

The Jury will inform Santander of the six (6) selected Participants so that they can check that all Participants comply with the requirements set out in the Legal Terms and Conditions and, if applicable, confirm the winners of the Activity (the «Winners«) and proceed to their proclamation.

Proclamation of the Winners

Santander will contact the Activity Winners to inform them that they have been selected and to inform them about the prize. In addition, Santander will announce the Winners by publishing a video featuring excerpts of the Winners’ Content and their Tik Tok usernames on Santander’s communication channels, including its subsidiaries, and its collaborating entities in the Activity, which may include their Tik Tok accounts and other social networks used for the promotion of the Activity.

After the communication of the prize, the Winner must formally accept the corresponding prize using the same means of communication used by Santander, in writing, within a maximum period of three (3) calendar days from the communication of the prize.

In any of the following cases, the status of winner and the right to obtain the prize will pass to the Alternates, in order of classification, who will also have a period of three (3) calendar days to express their acceptance. Winner status and eligibility for the prize will be reassigned in this manner, successively, until a Participant receives the prize within the aforementioned period. These cases include:

If the Winner or Alternate does not accept the prize as specified in these Legal Terms and Conditions.
If Santander is unable to locate the Winner or Alternate on Tik Tok, either because they have deleted their Tik Tok account, changed their Tik Tok username or for any other reason.
If Santander becomes aware that the Winner or Alternate has not complied with any of the conditions of these Legal Terms and Conditions.
If the Winner or Alternate is deceased or in the event of a circumstance occurring to the Winner or Alternate that makes it impossible for him/her to enjoy the prize.
If Santander becomes aware that the Winner or Alternate has been the subject of an international sanction or if so required by anti-money laundering and terrorist financing regulations.

The Activity may be declared void in case of lack of participation.

Prize

The Winners of the Activity will be awarded with the possibility of recording the Song and filming the Music video together with the rest of the Winners, in the studio selected by the music production company White Horse Production, S.L., located in Barcelona (the «Production«).

Santander will cover the expenses derived from the Production, the transport necessary to bring together all the Winners and the stay in the city of Barcelona, which will include accommodation and meals in a hotel of at least three (3) stars, and the corresponding daily allowances for a minimum of five (5) calendar days and a maximum of seven (7) calendar days in the city of Barcelona (where the recording of the Song and the Music Video will take place), as well as all necessary travel in Barcelona for the Production, and participation in all publicity and promotional activities for the Activity that Santander decides. The prize does not include the possibility of bringing companions.

Once the prize has been accepted by the Winners, each of them will sign a new contract with White Horse Production, S.L. and with Santander which regulates in detail the terms and conditions related to the recording and production of the Song and the Music Video. If the Winner refuses to sign this contract or delays its signature without reason, exceeding the period granted for this purpose, Santander will understand that the Winner has renounced the prize of the Activity and will proceed to contact the corresponding Alternate as established in clause 7 of these Legal Terms and Conditions.

Conditions applicable to the Activity prize

The Production, understood as the prize of the Activity, will only take place if the conditions at the time of its execution allow it. Santander reserves the right to postpone or cancel the Production, or even modify or replace the prize based on these circumstances . In any case, the postponement, cancellation, modification and/or substitution will not imply any compensation whatsoever in favor of the Winners.

Any details of the prize that are not specified will be determined by Santander at its sole discretion. The prize is non-transferable and must be accepted as awarded, which implies that no substitution may be made for cash prizes or prizes of any other nature. Refusal of the prize does not entitle the Winner to any type of financial or other compensation.

The Production or, as the case may be, the alternative prize chosen by Santander in accordance with the previous section, will not be exchangeable for cash prizes under any circumstances. The prize is personal and non-transferable and will only correspond to the Winners of the Activity in accordance with these Legal Terms and Conditions.

Use of social media and image rights

In connection with the Activity, Participants must refrain from publishing any illicit or disrespectful content from their accounts on Tik Tok or other social networks, as well as any content that could damage the image or reputation of Santander or any of its subsidiaries, White Horse Production, S.L. or any entity involved in the development of the Activity. Any Participant who fails to comply with the above will be excluded from the Promotion and his/her participation will no longer be taken into consideration.

Participants grant Santander an exclusive license with the right to license third parties to reproduce, publicly communicate, store, process and use the Content for purposes related to the Activity, advertising, fulfillment of the objectives and purpose of the Activity, as well as for the proper management and monitoring of the participation, in any known or unknown medium and format. This license is granted free of charge, worldwide and for the maximum period of time permitted by law.

For the purposes of this Activity, Participants expressly consent to the use of their Tik Tok username and personal image («Personal Image«) by Santander for the purposes described above. This use may extend worldwide for the Activity, for the duration of the Activity and for a reasonable period of time after the conclusion of the Activity to achieve its purposes and objectives. The use of the Personal Image may include publication in Internet media, websites of Santander or third parties, social media of Santander, its group subsidiaries or third parties, and other similar media. Among other uses, Santander may publish the Winners’ Tik Tok username on social media.

By virtue of the license and authorizations, among other uses, Participants expressly authorize the publication of their Content (or part thereof) on Santander’s and the subsidiaries of its corporate group or third-party websites authorized by Santander, and in such form as Santander considers appropriate to publicize the Activity, from the beginning of their participation in the Activity until Santander deems appropriate.

Fraud

In the event that Santander or any entity involved in the organization, promotion and development of this Activity detects any anomaly in the participation of a Participant or suspects that a Participant is preventing the normal development of his or her participation in this Activity, for example, by performing a copyrighted song, reproducing the Content of another Participant or illegitimately altering his or her participation or that of third parties by any organizational, technical or computer procedure to falsify their participation or that of others; it may unilaterally annul that Participant’s participation and exclude him or her from the Activity.

Taxation

The Law 35/2006, of 28 November, on Personal Income Tax and partially amending the laws on Corporate Income Tax, Non-Resident Income Tax and Wealth Tax; the Royal Decree 439/2007, of 30 March, approving its Regulations and its subsequent amendments; Royal Legislative Decree 5/2004, of 5 March, approving the Consolidated Text of the Law on Non-Resident Income Tax; the Royal Decree 1776/2004, of 30 July, approving the Non-Resident Income Tax Regulations; Law 27/2014, of 27 November, on Corporate Income Tax; Royal Decree 634/2015, of 10 July, approving the Corporate Income Tax Regulations; the Law 13/2011, of 27 May, on the Regulation of Gambling; Royal Decree 3059/1966, of 1 December, approving the Consolidated Text of Tax Fees; and other concordant provisions, shall be applicable to the prizes of this Activity. Therefore, where applicable, Santander shall be responsible for making the payment on account or making the appropriate withholding. This payment on account will not be passed on to the winner of the draw and the bank will assume the cost of the payment on account. The prize, in accordance with current Personal Income Tax regulations, is subject to withholding or payment on account when the basis for withholding or payment on account exceeds 300 euros – for these purposes, the withholding/payment on account rate established at any given time by current legislation will be applied.

In accordance with the aforementioned regulations, participants are informed, for the purposes of taxation and inclusion in the IRPF tax, that the prize awarded for participation in the Activity is considered to be a capital gain not derived from the transfer of assets to be included in the general tax base. For the purposes of complying with the above, the Winners, in the event that Santander does not have them, will provide, in due time, their name, surname or company name, tax ID number and postcode. The Winner will be solely responsible for the payment of any taxes and/or costs derived from the prize in question.

Responsibility

Santander shall be liable in accordance with applicable law for any damage or harm it causes to Participants by willful misconduct or gross negligence, as well as for any damage caused by negligence that results in injury to life or health of individuals.

Santander is not responsible for possible losses, damages, theft, delays or any other circumstance attributable to third parties or to the functioning of the Internet, social networks and the systems used by the Participant, which may affect the development of the Activity and, in the case of the Winners, affect the Production.

Santander does not provide any guarantee in relation to the prize in this Activity. Santander is also exonerated from any type of contingency that may arise as a result of the enjoyment of the prize.

Santander is not liable for any third-party claims that may arise in connection with the Participants’ Content.

Indemnity

Participants represent and guarantee that the Content does not infringe any rights, particularly any intellectual property rights of third parties, including but not limited to copyrights, trademarks, patents, and commit to indemnify Santander, as well as any third party with whom they contract within the framework of the Activity.

Participants bear sole responsibility for any legal, contractual or other infringement that they commit when submitting their Content or during the execution of the Activity, being the only party responsible for such infringements and for the any resulting damages. Participants undertake to hold Santander harmless, as well as any third party with whom Santander contracts within the framework of the Activity, against any type of judicial or extrajudicial claims that may be received from third parties due to such infringements and against any damages of any kind that may be suffered as a result of them.

Processing of personal data

In compliance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation) as well as Organic Law 3/2018, of 5 December, on Data Protection and Guarantee of Digital Rights (Spanish Data Protection Act or LOPDGDD), Santander informs that the personal data of the Participants that have been provided for the Activity will be processed for the purpose of allowing the proper development of the Activity, as indicated in the corresponding Privacy Policy of the Activity at santanderloudertogether.com.

Participants declare and guarantee that all personal data provided to Santander or linked to their participation are true and correspond to their identity.

Participants may exercise their right of access, rectification, erasure, restriction, objection, portability and, where appropriate, the right not to be subject to automated individual decisions, including profiling, by contacting the Data Protection Officer/Privacy Office of Santander at the following e-mail address: privacidad@gruposantander.es.

Independence of Tik Tok

This Activity is in no way affiliated with Tik Tok or the company(ies) that administer, manage or own such platform and is in no way sponsored, endorsed or organized by them or any other social network.

The organizer and recipient of the Participants’ Content in the context of this Activity is solely Santander. The information provided will only be used in connection with this Activity. Any legal claim or complaint related to the organization and mechanics of the Activity should be addressed exclusively to Santander.

Participants acknowledge and agree that the use of Tik Tok to participate in the Activity is at their own risk and responsibility. Santander will not assume any responsibility in relation to the operation of the Tik Tok platform, the content control system, the processing of user data, or any other aspect related to Tik Tok; nor will Santander be liable for any failures, errors, omissions, interruptions, deletions, alterations produced as a result of the use of its platform. Santander shall not be liable for any claim, lawsuit, right, compensation or measure that may arise from the use of Tik Tok.

Modification of the Activity and Legal Basis

Santander reserves the right to modify or cancel the Activity during the course of the Activity if circumstances of force majeure or unforeseeable circumstances so require, as well as any other duly justified cause that affects the correct and reasonable development of the Activity by Santander.

Santander will publish the version of the Legal Terms and Conditions in force at any given time, without prejudice to its right to make, at any time, the modifications, updates or changes that it considers necessary in accordance with this section.

Language and versions

These Terms and Conditions shall be drafted in Spanish and English. The Legal Bases may be drafted in other additional languages, if necessary according to the specific regions where the Activity takes place. In case of discrepancy between the content of the different versions, the content of the Spanish version shall prevail.
